Official Rules

NO PURCHASE NECESSARY TO ENTER OR WIN. A PURCHASE OR PAYMENT OF ANY KIND WILL NOT IMPROVE YOUR CHANCES OF WINNING.

THE FOLLOWING CHALLENGE IS INTENDED FOR ENTRY IN AUSTRALIA, NEW ZEALAND AND ENGLAND (COLLECTIVELY, THE “ELIGIBILITY AREA”). THE CHALLENGE SHALL ONLY BE CONSTRUED AND EVALUATED ACCORDING TO AUSTRALIAN LAW. DO NOT ENTER THIS CHALLENGE IF YOU ARE NOT LOCATED IN, AND A LEGAL RESIDENT OF, THE ELIGIBILITY AREA AT THE TIME OF ENTRY. TO BE ELIGIBLE TO PARTICIPATE, YOU MUST:

BE 18 YEARS OF AGE OR OLDER AND A LEGAL RESIDENT OF THE ELIGIBILITY AREA AT THE TIME OF ENTRY; AND
HAVE HAD INTERNET ACCESS PRIOR TO THE START OF THE ENTRY WINDOW; AND
HAVE A VALID EMAIL ADDRESS DURING THE ENTRY WINDOW.

ENTRY TIPS WILL ONLY BE ACCEPTED IN THE CHALLENGE FROM THE ONE MILLION (1,000,000) ENTRANTS WHO COMPLETE THE STEPS BELOW (THE “REGISTRATION PROCESS”), AS DETERMINED BY KOGAN.COM PTY LTD (“PROMOTER”).

All entries become the property of the promoter. All entries will be entered into a database and the promoter may use the winners’ names, email addresses, telephone numbers, for future promotional, marketing and publicity purposes in any media worldwide without notice and without any fee being paid unless otherwise advised by the entrant.

ENTRY IN THIS CHALLENGE CONSTITUTES YOUR ACCEPTANCE OF THESE OFFICIAL RULES, WHICH ARE FINAL AND BINDING.

Eligibility. The Kogan.com Million Dollar Brazilian Million Tipping Challenge (“Challenge”) is open only to legal residents of Australia, New Zealand and England; (b) that has Internet access prior to the start of the Entry Window and (c) have a valid and working email address during the Entry Window. Internet access is defined to include owning a computer or mobile device with access to the Internet or the ability to use a free computer/mobile device and Internet access provided by a third-party, such as a public library. You must also agree to receive promotional and marketing material from the Promoter in order to be eligible to participate. Refer to the Kogan.com Brazilian Million website, located at http://www.brazilianmillion.com (the “Website”) for any additional requirements. Employees, contractors, directors, and officers, and their immediate family members (parents, children, siblings or spouse, regardless of where they live, or persons living in same household, whether related or not) of the promoter, Kogan.com Pty Ltd. (“Promoter”), its subsidiaries, affiliates, suppliers, consultants, legal counsel, accounting firms, public relations, sales representatives, website providers, webmasters, advertising and promotional, and marketing agencies, and any others engaged in the development, production, execution or distribution of this Challenge (collectively, “Challenge Entities”) are not eligible to enter or win. Other eligibility requirements and conditions of participation are set forth below in these official rules for the Challenge (“Official Rules”).
Registration and Entry Window. The “Entry Window” for the Challenge opens (“Start Date”) at 12:01 a.m. AEST”) on 27 May, 2014. At that time, you may complete the “Registration Process” and begin creating your Tipping Entry (defined below). The period between the Start Date and the end of the “Entry Window” is referred to in these Official Rules as the “Tipping Submission Period.” The Entry Window will close at 12:01 a.m. AEST on Thursday, June 12, 2014. TIPPING ENTRIES WILL ONLY BE ACCEPTED IN THE CHALLENGE FROM THE FIRST ONE MILLION (1,000,000) ENTRANTS WHO COMPLETE THE REGISTRATION PROCESS (AS DETERMINED BY THE PROMOTER).
How to Enter. NO PURCHASE NECESSARY TO ENTER THE CHALLENGE. To enter the Challenge, eligible individuals (“Entrant” or “Entrants”) must complete the following Registration Process.
Kogan.com Registration Form. Entrants must visit the Website, available at http://www.brazilianmillion.com, to register with the Promoter for the Challenge by completing the Kogan.com registration form (“Kogan.com Registration Form”). To complete the Kogan.com Registration Form, Entrants will be required to provide their name, email address, and country of residence, which Entrants acknowledge shall be considered Entrant’s contact information for purposes of the Challenge. A potential winner may be required to provide proof that he/she is the person set forth on the Kogan.com Registration Form in Promoter’s sole discretion.
Creating Entries
Tipping Entry. Once you have completed the Registration Process, you may create your picks for the Challenge (a “Tipping Entry” or “Entry”). Only one (1) selection of tips will be designated the Tipping Entry. You may edit your Picks in your Tipping Entry at any time up until you click “Submit to win $1,000,000”. After submitting a Tipping Entry, picks may not be edited. Your Tipping Entry must be created on the Website.
Filling Out and Submitting Your Tipping Entry: The matches for the Group Stage of the 2014 FIFA World Cup will be posted on the Website. Once you have completed the Kogan.com Registration Form, you must populate your Tipping Entry with your Picks during the Tipping Submission Period. You will be asked to guess the winning team for each match of the Group Stage of the 2014 FIFA World Cup, or alternately, to select that the match will be a draw. YOUR PICKS WILL BE LOCKED IN YOUR TIPPING ENTRY WHEN YOU SUBMIT YOUR ENTRY ON THE WEBSITE. 
For purposes of these Official Rules, “receipt” of an Entry only occurs when the Promoter’s servers record an Entrant’s registration information and Tipping Entry during the Entry Window, and Challenge Entities shall have no liability whatsoever for any attempted entry which is not received as set forth herein. Screen shots, printouts or other purported “proof” or “evidence” of entry or winning, in lieu of Promoter’s validation process, shall not be binding. Proof of sending (such as an automated receipt, screen shots, etc.) does not constitute proof of actual receipt of an Entry for purposes of these Official Rules. 
LIMIT OF A MAXIMUM OF ONE TIPPING ENTRY (ONE ENTRY) PER PERSON IN THIS CHALLENGE. Any attempt by any Entrant to submit or play more than the one (1) permitted Tipping Entry (e.g. by creating or submitting additional entries from multiple email addresses) will void all Entries by that Entrant and disqualify him/her from the Challenge. The submission of an Entry is solely the responsibility of the Entrant. Entries may only be made according to the methods described above. Automated entries (including, but not limited to, entries submitted using any bot, script, macro, hack, or submission service), copies, third party entries, facsimiles and/or mechanical reproductions are not permitted, will be null and void, and any Entrant attempting to automate entries will be disqualified from the Challenge. Unintelligible, incomplete or garbled entries will be null and void and are not eligible entry into the Challenge. By entering, Entrants acknowledge that the Challenge Entities do not warrant or represent that the Challenge will be completely error or fraud free or that the Challenge will run without interruption, malfunction or technological issue. Challenge Entities are not responsible for misdirected, incomplete, lost, late, undelivered, inaccurate or delayed Entries, or Tipping Entries otherwise not recorded by the Promoter’s servers, or for technical, hardware, or software failures of any kind, lost or unavailable network connections, or failed, incomplete, garbled or delayed computer transmissions or other errors or problems which may limit or affect a person’s ability to participate in the Challenge, whether human, mechanical, typographical, printing, fraudulent, electronic, network or otherwise, relating to or in connection with the Challenge, including, without limitation, errors that may occur in connection with the administration of the Challenge, the processing of Entries, the announcement of winners or fulfillment of prize award, or in any Challenge-related materials. Fraudulent, unfair, unsportsmanlike, false or deceptive Entries or acts will render the Entrant ineligible. All Entries become the property of Promoter, and none will be acknowledged or returned. Notwithstanding any of the foregoing, Challenge Entities failure to detect fraud and/or invalidate Entries as set forth herein, shall not constitute a breach of these Official Rules, or unfair or deceptive practice and/or violation of any Entrant’s rights.
 TIPPING ENTRIES WILL ONLY BE ACCEPTED IN THE CHALLENGE FROM THE FIRST ONE MILLION (1,000,000) ENTRANTS WHO COMPLETE THE REGISTRATION PROCESS AND VERIFY THEIR EMAIL ADDRESS (AS DETERMINED BY THE PROMOTER). 
Promoter reserves the right to modify the entry process as described herein in its sole discretion and notice will be posted on the Website reflecting same.
Scoring. The Challenge scores all Picks in an Entrant’s Tipping Entry exclusively on the basis of the scoring system (“Scoring System”) outlined in this Rule. Under the Scoring System, Entrants will earn picks (“Picks”) by correctly predicting the winning team, or successfully predicting a draw, in the 48 games of the Group Stage of the 2014 FIFA World Cup. The Picks earned through the end of the Group Stage of the 2014 FIFA World Cup will be totaled to generate an Entrant’s total score for the Challenge. In addition to these Official Rules, additional rules and guidelines regarding game play and scoring can be found at the Website. In the event of a conflict between these Official Rules and any instruction found elsewhere, including the Website, these Official Rules will prevail.
Winner Selection. On or about June 30, 2014, employees or representatives of Promoter will determine if there is a potential Grand Prize Winner from the Tipping Entries received from qualifying Entrants who submitted one of the qualifying Tipping Entries during the Tipping Submission Period and the potential First Prize Winners (defined below) from all eligible Tipping Entries received from qualifying Entrants who submitted one of the qualifying Tipping Entries during the Tipping Submission Period in accordance with these Official Rules and the Scoring System. Grand Prize Winner, if any, and the First Prize Winners and Second Prize Winners are, collectively, the “Winners.” All Pick calculations and awards will be made solely and exclusively by Promoter, in its sole discretion, and all decisions of Promoter regarding the awarding of Picks to Entrants shall be final and binding in its reasonable discretion and are not subject to appeal. The result of any game in the 2014 FIFA World Cup shall be deemed final based on the results certified by FIFA prior to the commencement of the immediate next game in the 2014 FIFA World Cup, unless FIFA undertakes review of the results of said game, in which case FIFA’s final decision shall be determinative. If any scheduled game in the 2014 FIFA World Cup is not played for any reason, or if the 2014 FIFA World Cup matchups are modified, altered or rearranged after the close of the Entry Window for any reason, then no Grand Prize will be awarded but First Prizes and Second Prizes will still be awarded as set forth herein.
Prizes Available. Three (3) prize levels are potentially available (collectively, the “Prizes”), and will be awarded as follows:
Potential Grand Prize Winner: One (1) grand prize will be awarded to an eligible Entrant only if on a single, validly submitted Tipping Entry, he/she accurately predicts the outcome (win, lose or draw) of all 48 games in the Group Stage of the 2014 FIFA World Cup (“Perfect Tip”). The Grand Prize (as hereinafter defined) will only be awarded if an eligible Entrant submits a Perfect Tip (the “Grand Prize Winner”). If more than one (1) eligible Entrant submits a Perfect Tip and each is confirmed as a Grand Prize Winner, the Grand Prize will be equally divided among the Challenge’s Grand Prize Winners, with each Grand Prize Winner entitled to the Grand Prize Winner’s proportionate share of the Grand. For example, if there are two (2) Grand Prize Winners, each Grand Prize Winner will be entitled to 50% of the Grand Prize. IF NO ELIGIBLE ENTRANT SUBMITS A PERFECT TIP, THE GRAND PRIZE WILL NOT BE AWARDED.
Five (5) First Prize Winners: Five (5) first prizes will be awarded to the five (5) eligible Entrants who scored the most total correct Picks in the Challenge based upon the Scoring System (the “First Prize Winners”). All eligible Entries, other than a Grand Prize Winner, submitted during the Entry Window are eligible to win a First Prize. In the event of ties, the ties will broken according to the date and time on which the Tips were successfully submitted, such that the first five (5) eligible Entrants who scored the most total correct Picks will be awarded the First Prize.
Fifty (50) Second Prize Winners: Fifty (50) second prizes will be awarded to the fifty (50) eligible Entrants who scored the most total correct Picks in the Challenge based upon the Scoring System, after the First Prize Winners (the “Second Prize Winners”). All eligible Entries, other than a Grand Prize Winner and First Prize Winner, submitted during the Entry Window are eligible to win a Second Prize. In the event of ties, the ties will broken according to the date and time on which the Tips were successfully submitted, such that the first fifty (50) eligible Entrants who scored the most total correct Picks after the First Prize Winners will be awarded the Seconds Prize.
Prizes and Approximate Retail Values (“ARV”).
Grand Prize: The grand prize (“Grand Prize”) will consist of one million dollars ($1,000,000) AUD, payable over the course of ten (10) months in ten (10) equal annual installments of $100,000. THE GRAND PRIZE WILL NOT BE AWARDED IF NO ELIGIBLE ENTRANT SUBMITS A PERFECT TIP.
First Prize: The five (5) First Prize Winners will each receive five hundred dollars ($500) in AUD equivalent credit vouchers for use at www.kogan.com (“First Prize”). The First Prize will be delivered to the First Prize Winners in the form of a unique code to enter onto the www.kogan.com website during checkout. Where a First Prize winner requests a unique code in NZD or GBP, the Promoter shall convert the AUD amount at the spot rate it reasonably determines to apply on 30 June 2014.
Second Prize: The fifty (50) Second Prize Winners will each receive fifty dollars ($50) in credit vouchers for use at www.kogan.com (“Second Prize”). The Second Prize will be delivered to the Second Prize Winners in the form of a unique code to enter onto the www.kogan.com website during checkout. Where a Second Prize winner requests a unique code in NZD or GBP, the Promoter shall convert the AUD amount at the spot rate it reasonably determines to apply on 30 June 2014.
Prize Conditions. LIMIT ONE PRIZE PER ENTRANT. A Grand Prize Winner is not eligible to win a First Prize or a Second Prize and Grand Prize Winner, if any, releases Challenge Entities from any claims related thereto. All federal, state, and local taxes, and all other costs associated with acceptance or use of the Prizes, are the sole responsibility of the Winners. Each Winner may waive his/her right to receive a Prize. A Prize is non-transferable, non-exchangeable, and non-refundable, and must be accepted by the Winner as awarded.
Winner Notification and Verification. Receiving a Prize is contingent upon compliance with these Official Rules, including all eligibility requirements. The potential Winners will be notified within fifteen (15) days after the winner determination on June 30, 2014. The Winners will be notified by email using the email address provided in the Entrant’s Kogan.com Registration Form. The Promoter is not responsible if unable to contact a potential Winner for prize notification purposes for whatever reason, including Entrant’s failure to provide a correct email address at the time of submission of the Kogan.com Registration Form. Within fifteen (15) days after receiving notification of winning, a potential Winner may be required to execute and return to Promoter an Affidavit of Eligibility/Release of Liability and/or Publicity Release. Disqualification and the determination of an alternate First Prize Winner may result from any of the following: (a) potential Winner’s inability or refusal to accept the Prize; (b) the inability of Promoter to contact the potential Winner for any reason; (c) failure of the potential Winner to return the completed and executed Affidavit of Eligibility/Release of Liability/Publicity Release within fifteen (15) days after notification of winning; or (d) any other non-compliance with these Official Rules, as determined by Promoter in its sole discretion. In the event that a potential First Prize Winner or Second Prize Winner is disqualified for any reason or waives his/her right to receive a First Prize or Second Prize, the Promoter will award the First Prize or Second Prize to an alternate potential Winner with the next highest total Picks, or next eligible Entry in chronological order. In the event that a potential Grand Prize Winner is disqualified for any reason or waives his/her right to receive a Grand Prize, the Promoter will not award the Grand Prize. PLEASE NOTE THAT EVEN IF YOUR TIPPING ENTRY IS LISTED AS A POTENTIAL WINNER AT THE CLOSE OF THIS CHALLENGE, YOU HAVE NOT YET WON A PRIZE. EACH POTENTIAL WINNER IS SUBJECT TO VERIFICATION BY PROMOTER, AND MUST MEET ALL ELIGIBILITY REQUIREMENTS AND THE TERMS OF THESE OFFICIAL RULES BEFORE AN ENTRANT WILL BE CONFIRMED AS A WINNER AND A PRIZE WILL BE AWARDED.
Prize Delivery. Within thirty (30) days after verification of a Winner’s identity and eligibility to win a Prize, the Promoter or its representative will contact the Winner to coordinate and make appropriate arrangements for the delivery of the Prize to the Winner.
