Conditions of Entry.

Terms and Conditions of Entry

1.

Information on how to enter and prizes form part of these Terms and Conditions of Entry. Entry into this Promotion, is deemed to be an acceptance of these Terms and Conditions of Entry by each Entrant.

Promoter

2.

The Promoter is Philips Electronics Australia Limited (ABN: 24 008 445 743) of 65 Epping Road, North Ryde NSW 2113 Australia (“Promoter”). Entries will be processed by [interplay Pty Ltd 65 124 976 647)

Promotion Period

3. The Promotion commences at 00:01am (AEST) on 24/08/2014. Final entries and votes close and must be received by 23:59pm (AEST) on 02/09/2014 (“Promotion Period”). Entry times will be determined using the Promoter’s computer, which will be the official clock for the Promotion.

Eligibility and Participation

4.

The Promotion is only open to “Eligible Entrants” who fulfil the entry requirements in clause 5 (“Entrant”).

5.
To enter the Promotion, the Entrant must:

(a)
be an Australian resident;

(b)

have obtained permission to enter this Promotion from a parent/guardian if under 18 years of age at the date of entry, and the parent/guardian must have read and consented to these Terms and Conditions. The Promoter may request the parent/guardian to enter into a further agreement as evidence of consent and parent/guardian must comply with such request;

(c)
submits each entry into this Promotion in accordance with these Terms and Conditions;

(d)
enter this Promotion for himself or herself exclusively and not on behalf of any other person or group of persons, including any syndicate of persons; and

(e)
not in any way tamper with the Promotion and/or the entry process for the Promotion.

Without in any way limiting the foregoing, if the Promoter is of the opinion, acting reasonably, that a person has submitted an entry to this Promotion as part of a syndicate or otherwise in any manner designed to increase the likelihood of the Entrant winning a prize, the Promoter may, in its absolute discretion, declare that all entries submitted by that Entrant are invalid. Entrants who enter using multiple aliases will be disqualified at the Promoter’s discretion. The Promoter incurs no liability to the excluded Entrant for any loss or damage he or she may suffer if such a declaration is made.

Corporations, companies, body corporate bodies, groups, organisations and any other corporate bodies and non-corporate bodies are not eligible to participate.

8.

Employees, and the immediate families of the Promoter and of participating retailers and agencies associated with this Promotion are ineligible to enter. Immediate family means any of the following: spouse, ex-spouse, de-facto spouse, child, step-child (whether natural or by adoption), parent, step-parent, grandparent, step-grandparent, uncle, aunt, niece, nephew, brother, sister, step-brother, step-sister or first cousin.

Individuals must, during the Promotion Period, go online to www.sportsdads.com.au follow the links to the competition entry page, accurately complete all required fields in the online entry form in full, select their favourite celebrity sports dad from the ten (10) celebrity sports dads provided and to be eligible to win any prizes in 25 words or less, tell us why your selected celebrity sports dad should be crowned the ‘Philips Celebrity Sports Dad of the Year’ (“Statement”).

10.

By submitting a Statement, each Entrant expressly accepts these Terms and Conditions. Entrants must read these Terms and Conditions carefully prior to lodging their Statements. In the event that a Statement does not comply with any of these Terms and Conditions, as determined by the Promoter in its sole discretion, such Statements will be rejected. A Statement that appears to duplicate any other submitted Statements may be rejected in the Promoter’s sole discretion and only the first Statement submitted (based on time/date) will be included in the Promotion.

11.

This is a game of skill and chance plays no part in determining the winners.

12.

Each Statement will be individually judged according to its merits, based on the creativity demonstrated in the entry by the Promoters’ judging panel. Decisions will be at the complete discretion of the judges and the judges’ decisions are final and no correspondence will be entered into.

13.

Multiple entries are permitted, provided that each entry is submitted separately and in accordance with these Terms and Conditions. Maximum of five (5) entries per Entrant/household may be submitted per day. While multiple entries are permitted, each individual Entrant is only eligible to receive one (1) prize.

14.

Any cost associated with accessing the promotional website (www.sportsdad.com.au) is the Entrant’s responsibility and is dependent on the Internet service provider used. No product purchase is necessary to enter or win.

15.

Incomplete, indecipherable or illegible entries will be deemed invalid.

16.

The Promoter’s decision is final and no correspondence will be entered into.

Entry Guidelines and Requirements

17.
Each Statement-

(a)
Must be no more than 25 words and comply with clause 9;

(b)
Must be in English;

(c)
Must not contain images or artwork, music quotes, parodies or other materials not created by the Entrant;

(d)
Must have been created by the Entrant and must not previously have been published or won any award;

(e)
Must not have been submitted previously in a Philips’ promotion;

(f)
Must be uploaded to www.sportsdad.com.au in accordance with clause 9;

(g)
Must be the Entrant’s original literary work that does not infringe the rights of any third party, living or deceased, including but not limited to, privacy, publicity or intellectual property rights, or legal or moral rights, or violate applicable laws, regulations, or network standards;

(h)
Must not disparage the Promoter or any other person or party affiliated with the administration of this Promotion;

(i)
Must not include any personally identifiable information, such as the Entrant’s full name, address or telephone number;

(j)
Must not contain appearance of any logos, brand names, trademarks, slogans or any other intellectual property owned by any third party (including those of the Promoter and its Associated Entities as defined in section 50AAA of the Corporations Act 2001 (Cth)(‘Associated Entities’));

(k)
Must not contain, facilitate, reference, or use material that is fraudulent, inappropriate, indecent, lewd, pornographic, obscene, hateful, tortuous, defamatory, slanderous or libelous; (l)

(l)
Must not contain, facilitate, reference or use material that contains prohibited content which shall include, but is not limited to, content that promotes, suggests, or encourages: i. gambling, including without limitation, any content related to online casinos, sports books, bingo or poker; ii. the use of firearms/weapons/ammunition, any illegal drugs, prostitution, pornography, nudity, profanity or other adult content, violence, or the use of alcohol or tobacco products; iii. the taking up of arms against any person, government or entity (or otherwise challenges or seek to overthrow any government);

(m)
Must not contain any viruses, spyware, malware, or other malicious components that are designed to harm the functionality of a computer in any way; and

(n)
Must not contain, facilitate, reference, or use material that promotes bigotry, racism, hatred or harm against any group or individual or promotes discrimination based on race, gender, ethnicity, religion, nationality, disability, sexual orientation, political orientation, citizenship, ancestry, marital status, or age; and must not contain material that is unlawful, in violation of or contrary to the laws or regulations in any jurisdiction where the Statement is created or material that is not suitable for children under the age of 15.

NOTE: If any Statement fails to comply with any of these Entry Guidelines and Requirements or any other provisions of these Terms and Conditions, the Promoter reserves the right to disqualify the Entrant and the Statement will not be eligible to win

18.

The Entrant is responsible for the contents of the Statement. The Promoter will not be liable for the content of the Statement or its use in anyway. The Entrant must comply with requests by the Promoter to takedown the Statement from www.sportsdad.com.au or edit the content in any way.

How winners will be determined and notified

19.

At the conclusion of the Promotion, prior to judging, all eligible entries received throughout the Promotion Period will be collected and divided into the following five (5) groups, based on the media channel selected in each Entrant’s entry, at time of entry, as to how the Entrant came to know of the Promotion: (i) Channel 9 – Wide World of Sports; (ii) The Sunday Telegraph; (iii) The Sunday Mail; (iv) Herald Sun Sunday and (v) Other. Each such group will be regarded as a “Channel”.

(a)
The best entry from each Channel, as determined by the judges in their sole discretion, will each receive a Major Prize (each a “Major Prize”). There is one (1) Major Prize to be awarded per Channel, with five (5) Major Prizes available to be awarded in total.

(b)
The next two (2) best entries from each Channel, as determined by the judges in their sole discretion, will each receive a Minor Prize ( each a “Minor Prize”). There are two (2) Minor Prizes to be awarded per Channel, with ten (10) Minor Prizes available to be awarded in total.

20.

Judging will commence at 1pm (AEST) on 03/09/2014 at 143 Belmont Street Alexandria NSW 2015. Winners will be notified by telephone and/or in writing within 21 days of the commencement of judging and their name will be published online at www.sportsdads.com.au.

Prizes

21.

Each winner of a Major Prize will win a Philips Ultimate Father’s Day Grooming Pack, valued at $5,039.70, which consists of a Red Balloon Days gift certificate valued at $4,000, 1 x Shaver9000 (S9111/26 – $449.95), 1 x AquaTouch (AT750 – $99.95), 1 x StyleShaver (QS6161 – $149.95), 1 x HAIRCLIPPER (HC7450 – $129.95), 1 x MULTIGROOM (QG3360 – $69.95) and 1 x Ultimate Bodygroom (TT2040 – $139.95). The Red Balloon Days gift certificate is subject to the supplier’s standard Terms and Conditions (go to www.redballoon.com.au/help/terms-conditions). It is each Major Prize winner’s responsibility to use the full value of the Red Balloon Days gift certificate within the validity period on the card. The Red Balloon Days gift certificate is not redeemable for cash and any unused balance will not be credited or refunded. Each Major Prize winner may use the Red Balloon Days gift certificate on a purchase which exceeds its value, but it is each Major Prize winner’s responsibility to make up this difference. Any costs in excess of the (GST inclusive) value of the Red Balloon Days gift certificate and all ancillary costs associated with redeeming the Red Balloon Days gift certificate are not included and are the sole responsibility of each Major Prize winner. There are five (5) Major Prizes available to be awarded. Total Major Prize value is RRP $25,198.50.

22.

Each winner of a Minor Prize will win a Philips Father’s Day Grooming Pack, valued at $319.85 which consists of 1 x AquaTouch (AT750 – $99.95), 1 x StyleShaver (QS6161 – $149.95) and 1 x MULTIGROOM (QG3360 – $69.95), any costs in excess of the (GST inclusive) value of the Minor Prize and all ancillary costs associated with redeeming the Minor Prize are not included and are the sole responsibility of each Minor Prize winner. There are ten (10) Minor Prizes available to be awarded. Total Minor Prize value is RRP $3,198.50.

23.

Total prize value is $28,397.00

24.

Prize winners should allow up to 31 days for delivery of their prize to a nominated Australian address. The Promoter will deliver to an Australian address free of charge. The Promoter and their associated agencies, and companies associated with this Promotion will take no responsibility for prizes damaged or lost in transit due to fault of the Entrant not providing correct details.

25.

If any winner does not claim their prize by 5:00pm (AEDST) on 02/12/2014, they will automatically forfeit their right to the prize and the next best entry will be deemed to be the winning entry, subject however to any directions given by any applicable gaming authorities. This process will continue either until all prizes have been claimed or entries are exhausted, whichever occurs first.

26.

The Promoter reserves the right to request all winners to supply any required identification and/or documentation to prove their eligibility to receive the prize. Identification considered suitable for verification is at the discretion of the Promoter.

27.

The Promoter reserves the right, at any time, to verify the validity of entries and Entrants (including an Entrant’s identity, age and place of residence) and to disqualify any Entrant who submits an entry that is not in accordance with these Terms and Conditions or who tampers with the entry process. Suitable forms of verification are at the discretion of the Promoter. Failure by the Promoter to enforce any of its rights at any stage does not constitute a waiver of those rights.

28.

If there is a dispute as to the identity of an Entrant, the Promoter reserves the right, in its sole discretion, to determine the identity of the Entrant.

29.

The use of any automated entry software or any other mechanism or electronic means that allows an Entrant to automatically enter repeatedly is prohibited and will render all entries submitted by that Entrant invalid. The Promoter may, in its sole discretion, disqualify all entries from, and prohibit further participation in this Promotion by, any person who tampers with or benefits from any tampering with the entry process or with the operation of the Promotion or acts in violation of these Terms and Conditions, acts in a disruptive manner or acts with the intent to annoy, abuse, threaten or harass any other person.

30.

All prize values stated are the recommended retail value in Australian dollars and include GST (where applicable). Prize values stated are accurate at the time of printing. The Promoter accepts no responsibility for any variation in the value of the prizes after that date.

31.

Prizes, or any unused portion of any prize, are not transferable or exchangeable and cannot be taken as cash, unless where otherwise specified.

32.

If any prize (or any part thereof) is unavailable, the Promoter, in its discretion, reserves the right to substitute the prize (or any part thereof) with a prize of equal value and/or specification.

33.

If the winner of any prize is under the age of 18 years at the time of claiming their prize, the prize will be awarded to the winner’s nominated parent or guardian.

34.

If a prize has already been awarded, but the Promoter determines that the winner was in fact in breach of these Terms and Conditions upon entering this Promotion, the Promoter reserves the right to request the winner to return the prize, or its monetary equivalent (at their own cost). If this occurs, a new winner will be selected. Each Entrant acknowledges this condition upon entering this Promotion.

35.

At the Promoter’s request, each winner must participate free of charge in all promotional activity relating to winning and/or taking the prize free of charge (including, but not limited to, publicity, photography and filming). Each winner also gives consent to the Promoter to use their full name, likeness, image, voice and/or any other details for any promotional, marketing and publicity purposes in any media worldwide without any fee being paid to that winner.

36.

The Promoter and any of their employees, contractors and agents or employees of their contractors and agents, accept no responsibility for late, lost, stolen or misdirected entries. All entries are deemed to be received at the time of receipt by the Promoter and NOT time of transmission by the Entrant.

37.

The Promoter, and any of their employees, contractors and agents or employees of their contractors and agents, reserves the right to refuse to award a prize to any winner if the Promoter or the team determine, in their absolute discretion, that a winner is not in the mental or physical condition necessary to be able to safely take the prize. The winners may be required to sign a legal release and/or other documentation in a form determined by the Promoter in its absolute discretion, confirming their eligibility to accept the prize.

Miscellaneous

38.

By entering or participating in this Promotion, each Entrant, on behalf of his or her legal guardians, personal representatives or heirs assigns, accepts entry into this Promotion and use any prize at their own risk.

39.

In consideration for the Promoter accepting the Entrant’s entry, to the fullest extent permitted by law, the Entrant releases and forever discharges the Promoter from all claims that the Entrant may have or may have had but for this release arising from or in connection with any Entrant’s participation in this Promotion and a winner’s acceptance and use of the prize. Promoter may ask winners to sign a release prior to providing the prizes.

40.

The Entrant indemnifies and holds harmless the Promoter and all its ‘Associated Entities” (as defined under section 50AAA of the Corporations Act 2001 (Cth)) and their officers, agents, employees and personnel, to the extent permitted by law, in respect of any liabilities, claims, costs and expenses, including attorney’s fees, judgments, cause of action, court orders, payments, taxes, levies, losses, damages, demands or other penalties which Promoter or its Associated Entities may incur, howsoever arising in connection with the Entrant’s participation in the Promotion, including as a result of any claim, action or proceeding that the use, possession or receipt by Promoter of the Statement infringes the intellectual property rights or other rights of any third party.

41.

Nothing in these Terms and Conditions limits excludes or modifies or purports to limit, exclude or modify the statutory consumer guarantees as provided under the Competition and Consumer Act 2010 (Cth), as well as any other implied warranties under the Australian Securities and Investments Commission Act 2001 (Cth) or similar consumer protection laws in the States and Territories of Australia (“Non-Excludable Guarantees”). Except for any liability that cannot by law be excluded, including the Non-Excludable Guarantees, the Promoter and Koninklijke Philips N.V (“Philips”) (including their respective officers, affiliated companies, employees and agents) excludes all liability (including negligence), for any personal injury or death; or any loss or damage (including loss of opportunity); whether direct, indirect, special or consequential, arising in any way out of the Promotion, including in relation to the Entrant’s participation in this Promotion or use or misuse of the prizes.

42.

The Promoter, and any of their employees, contractors and agents or employees of their contractors and agents, accepts no responsibility for any tax implications that may arise from the prize winnings. Independent financial advice should be sought by winners. Winners accept their prize at their own risk. All warranty claims should be directed to the manufacturer of the prize.

43.

Neither the Promoter nor any of its employees, contractors and agents nor the employees of its contractors and agents, is responsible for any problems or technical malfunction of any network, telephone or otherwise, servers or providers, computer equipment, software, technical problems or congestion on any network, or any combination thereof, or any other technical failures including any damage to Entrants or any other persons computer related to, or resulting from, participating in this Promotion. If for any reason the Promoter, determines in good faith and in its sole discretion that this Promotion is not capable of running safely as planned, as a result of events including but not limited to infection by computer virus or bugs, tampering, unauthorized intervention, fraud, technical failures or any other causes beyond the control of the Promoter, including but not limited to vandalism, power failures, tempests, natural disasters, Acts of God, civil unrest and strikes, which might corrupt or affect the administration, security, fairness, integrity or proper conduct of this Promotion, the Promoter reserves the right and may in its absolute discretion cancel the Promotion and recommence it on similar Terms and Conditions.

44.

By submitting an entry, the Entrant hereby acknowledges and agrees that any intellectual property rights (including, without limitation, copyrights, neighbouring rights, portrait rights), and any other proprietary rights in connection with works generated or developed in the course of his/her Statement (the “Works”), shall vest in Koninklijke Philips N.V. (“Philips”). The Entrant hereby irrevocably and unconditionally assigns to Philips all right, title and interest in and to any and all Works and to do everything necessary to perfect such rights and to protect Philips’ interests therein.

45.

Philips, its affiliates, nominees and/or assignees shall be entitled to use the Works (including works derived thereof) on a world-wide basis for all forms of use, including use in connection with advertising and marketing of Philips products and all other commercial and non-commercial exploitation of the Works.

46.

Philips shall be entitled to modify, adapt or edit the Works in any form and in any way it deems fit.

47.

The Entrant hereby expressly, irrevocably and unconditionally waives, to the maximum extent possible, all moral rights (including rights of authorship) to which the Entrant or any third person engaged by it in the creation of the entries or any other submissions may now or at any time be entitled in respect of any of the submissions, including the Works. The Entrant shall not assert any claim against Philips or any of its affiliates, assignees, licensees or customers for violation or infringement of moral rights in respect of any of the submissions, including the Works or any modification or adaptation carried out by Philips.

48.

The Entrant shall indemnify and hold Philips and Promoter and its affiliates harmless from and against all claims, losses, damages, costs and expenses (including reasonable attorney’s fees) arising from or in connection with (i) the use of the Entry and all other materials submitted by the Entrant hereunder; or (ii) any breach of the warranties or obligations of the Entrant hereunder.

49.

The Promoter collects personal information (“PI”) in order to conduct the Promotion and for other purposes set out in the Promoter’s privacy policy. Claim is conditional on providing this PI. The Promoter may disclose Entrants’ PI to contractors and agents to assist in conducting this Promotion, prize suppliers, State and Territory lottery and gaming authorities (as required) and to communicate with Entrants. Each winner’s name may be published on the Promoter’s website and on www.sportsdads.com.au. In addition to any use that may be outlined in the Promoter’s privacy policy, if the Entrant opts-in by ticking the opt-in box at the time of submitting an entry, Entrants consent to the information they submit with their entry being entered into a database of Koninklijke Philips N.V and/or its affiliate companies and this information may be used by Koninklijke Philips N.V and/or its affiliate companies in any media, for an indefinite period, for future promotional, marketing, publicity, research and profiling purposes including sending electronic messages or telephoning the Entrant, without any further reference or payment or other compensation to the Entrant. All personal details of the Entrant will be stored by Koninklijke Philips N.V. and/or its affiliate companies and is subject to Philips privacy policy, see www.philips.com.au/privacypolicy. The Promoter is bound by the National Privacy Principles set out in the Privacy Act 1988 (Cth). Entrants can request to access, update, correct the PI the Promoter holds about them or opt out of receiving updates by contacting the Promoter. Should an Entrant’s contact details change during the Promotion Period, it is the Entrant’s responsibility to notify the Promoter. All entries become the property of the Promoter. Unless otherwise indicated by the Promoter, the Promoter may disclose PI overseas, and cannot guarantee that any overseas recipient will not breach the Australian Privacy Principles. By participating in this Promotion, individuals consent to the overseas transfer on these terms and, to the fullest extent permitted by law, agrees not to hold the Promoter liable in this regard.

50.

Any attempt to deliberately undermine the legitimate operation of this Promotion may be a violation of criminal and civil laws. The Promoter reserves the right to seek damages to the fullest extent permitted by law against any individual/group, should such an attempt be made, whether successful or not.

51.

Headings and subheadings are inserted for convenience only and shall not be used to interpret the text of these conditions in any way adverse to an interpretation of the Promoter.

52.

These Terms and Conditions constitute the entire agreement of the parties relating to the entry.

Philips Celebrity Sports Dad of the Year is copyright (c) protected. All rights reserved. Without prejudice to foregoing, all the intellectual property right rising from the event ‘Celebrity Sports Dad of the Year” shall vest in Philips.
